Please read these Terms of Use carefully before using the services offered by doare.org (Site), owned by the company DOARE SERVIÇOS FINANCEIROS LTDA and fancy name DOARE, registered in CNPJ 28.229.013 / 0001-56.

This agreement establishes the Terms and Conditions of Use of the Doare.org website.

By using the site or service in any way, including but not limited to visiting or browsing the site, you agree to the terms of this agreement. This agreement applies to all users of the site or service, including users who also contribute content, information and other materials or services on the site.

We request the least amount of information possible to make your life easier and to prevent fraud. Your payment data goes straight to the gateway to process the payment.

Conditions for Acceptance

The service is offered upon acceptance, without modification of all terms and conditions contained in this document (the "Terms of Use"). This term also incorporates the "Privacy Policy" and all other operating rules, policies and procedures that may be published from time to time on the Site, each of which is incorporated by reference and each of which may be updated throughout without notice. In addition, some services offered through Doare.org may be subject to the additional terms and conditions promulgated by the Site over time.

The service is only available to individuals over 18 years of age. By accessing the Site, the individual warrants that it is in the legal age to sign a binding agreement and that all the registration information it presents is accurate and reliable. Doare.org may, in its sole discretion, refuse to offer the service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right of access to the service is revoked in such jurisdictions.

Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Use. The Service, including without limitation any Content or User Material (both as defined below) is provided for your own use only. personal use and non-commercial use (except with respect to users submitting projects, as authorized through the Service). You are responsible for all of your activity in connection with the service. For purposes of the Terms of Use, the term "Content" includes, without limitation, any User Material, such as: videos, audio clips, written comments in the forum, information, data, texts, photographs, software, scripts, graphics, and interactive features generated, rendered, or accessible by doare.org or its partners through the Service.

By way of example, and not as a limitation, you should not (and should not allow others): (a) take any action or (b) upload, download, post, upload or distribute or facilitate the distribution of any content through the Service, including, without limitation, any User Material which: infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity or violates any contractual right or obligation; you know it's false, misleading, or inaccurate; is unlawful, threatening, abusive, offensive, defamatory, fraudulent, invasive of the privacy of others, abusive, obscene, profane, offensive; constitutes unauthorized, unsolicited or "spam" advertising; contains software viruses or any other computer codes, files or programs that are designed or intended to corrupt, damage, limit or interfere with the proper functioning of any telecommunications software, hardware or equipment or cause damage or gain unauthorized access to any system, data, passwords or other information of the Company or third parties, or represents any person or entity, including any employee or representative of the company.

In addition, you must not: (i) take any action that imposes or will impose (as determined by the company at its discretion) an unreasonable or disproportionately large load on the company or its third party providers of the infrastructure, (ii) interfere or attempt to interfere with the proper functioning of the Service or any activities performed on the Service, (iii) use any measures to prevent or restrict access to the Service or other accounts, computer systems or networks connected to the Service; (iv) perform Maillist, Listserv, any form of automatic response or "spam" on the Service, or (v) the manual or automatic use of software, devices or other "crawl" or "spider" processes of any Site page. You shall not, directly or indirectly: (i) decrypt, decompile, disassemble, reverse engineer or attempt to obtain any source code or underlying ideas or algorithms from any part of the Site, (ii) modify, translate or create derivative works of any part of the Site; or (iii) copy, rent, lease, distribute or transfer any of the rights you receive thereunder. You must abide by all local, state, national and international laws and regulations.

Doare.org does not warrant that any User Content or Materials, as defined below, will be made available on the Site or through the Service. The Site has no obligation to monitor the content of the site, service or User Material. However, you reserve the right to (i) remove, edit or modify any content in its sole discretion, including, without limitation, any User Material, the Site or Service at any time without notice and for any reason including , but not limited to, by receiving complaints or denunciations from third parties or authorities related to the content; and, (ii) to remove or block any User Material.

You will not be able to "paint the town red" and do actions that could harm our site or even you. Look there, huh!

Register

You may browse the site and view contents without registering, but to use certain aspects of the Service, you may be required to register on the Site and choose a password and username. You must provide accurate, complete, and up-to-date cadastral information. Failure to do so constitutes a violation of the Terms of Use, which may result in immediate termination of your account on the site. You must not: (i) select or use a user name of another person with the intent to represent such person, (ii) use a username other than yours without proper authorization, (iii) use a username that is offensive, coarse or obscene. Doare.org or Organization Owners are allowed to perform registration checks of your CPF so that the Site can validate the information presented by it, in order to protect users of the Site against possible fraud or delinquency. Information obtained through this check will not be disclosed to users of the Site.

The Site reserves the right to refuse registration or cancel a user's access in its sole discretion. You are solely responsible for the activity that occurs in your account and will be responsible for maintaining the confidentiality of your password. You should never use another user's account without the express permission of the user. You must immediately notify the Site in writing of any unauthorized use of your account or other account.

To use certain parts of the site you need to register. We may make private inquiries at your CPF to prevent fraud. Never give your password to anyone!

What is Doare?

Doare proposes to raise funds for social or environmental impact organizations through its website (http://www.doare.org/) or external tools that are endorsed by Doare's own management.

Through the tools provided by Doare, it acts as a network in which it connects, for the most part, Third Sector organizations with donors.

Doare performs the intermediation and internal management of financial contributions transacted by the fundraising tools officially made available by Doare.

Thus, to maintain the operation of the operation, maintenance and improvement of services, we charge an administrative fee for the service provided.

Website for fundraising and information sharing for Third Sector Organizations (CSOs, NGOs, OSCIPs, Foundations, Institutes), Cultural and Political Movements, Social Business, Independent Projects and Personal Causes.

Allows users of the ORGANIZATION MANAGER type to receive financial contributions from users of the SUPPORT type, and may be identifiable or anonymous.

The Doare is only a tool that brings together ORGANIZATIONS with a focus on social welfare and SUPPORTERS. Thus, we have no responsibility under such relationships and no one involved has an employment agreement with us.

Doare is responsible for having its website and online tools working properly, ensuring the security and privacy of the information, but can not ensure the viability of all projects available for fundraising.

Doare is attentive and will not make efforts in the collection, so that all users of the type ORGANIZATION MANAGER fulfill their proposed projects.

Doare is a network of financial contribution and information sharing for high social impact organizations receiving online donations from supporters who are willing to make a difference.

Role Definition

The USER represents a group that includes all available papers to be used in the Doare:

- MANAGER OF ORGANIZATION
- SUPPORTER

ORGANIZATION MANAGER
- Account created by a recognized representative of the Organization in question of the registry, and may be OSC, NGO, OSCIP, Institute, Foundation, Company, Ministry, Association, Organization, Movement, Informal Group, Individuals and / or terminologies similar to those mentioned.
- You can receive donations through the Doare website, either on the ORGANIZATION PROFILE page, on some CAMPAIGN PAGE or through external tools officially approved by the Doare. They must inform their SUPPORTERS with updates of projects in which donations were collected through CAMPAIGN PAGE, inside the Doare website.
- They must have a cause of goodness and be within the criteria of transparency and honesty of the Doare. Doare reserves the right to remove any user whom it does not consider fit within these internal selection criteria.
- By promising incentives / rewards and / or carrying out tasks, the MANAGER OF THE ORGANIZATION assumes the obligations set forth in article 854 et seq. Of the Brazilian Civil Code, becoming directly responsible for fulfilling its promise to the supporters who fulfill the stipulated conditions, without any direct or indirect liability, by Doare.

SUPPORTER
- Account created in order to make financial contributions to Organizations or to share information through the Doare, being able to be Individuals or Legal Entities.
- You have the free right to choose who you want to support financially and to determine the amount you want to support financially. It has the option of financially supporting an Organization on a recurring basis, in which, in doing so, it undertakes to contribute financially automatically on a one-year contract (12 months), which may be interrupted at any time. In that period, the amount stipulated as determined for recurring donation will be automatically deducted from the credit card provided the first time.
- When fulfilling the stipulated conditions for the receipt of the incentives / rewards or verification of the accomplishment of tasks promised by the MANAGER OF THE ORGANIZATION, the SUPPORTER acquires the rights provided for in article 855 et seq. Of the Brazilian Civil Code, and requires directly from the MANAGER OF THE ORGANIZATION the fulfillment of its promise, being aware that there is no direct or indirect liability on the part of Doare in this regard.
RECORDS
- Any person of legal age may use Doare services. Users under the age of 18 are not allowed to participate. If any violation of this provision is verified, Doare will immediately cancel the user's registration.
- Doare uses the registration information provided by the USER. Access to the account can be done by typing the user email and password in the login fields on a page provided within the Doare.
- The user is solely responsible for the security of his username and password. It is through this data that the user can access and change his personal information and other data of his register. If there is any suspicion of improper or unauthorized use of your account, you should notify Doare immediately at [email protected].
- Doare undertakes not to use the cadastral information provided by the USER for the performance of any illegal activities, but only for those expressly permitted by Brazilian law and / or this agreement.
- The USER agrees to: Provide true, accurate, current and complete information when registering for access to the site; Keep and update your information in order to keep it true, accurate, current and complete; Be liable for any false, incorrect, outdated or incomplete information provided. If Doare has reasonable grounds to suspect the accuracy and / or accuracy of such information, you will have the right to suspend or terminate the user account immediately and independently of notification.

There are 2 types of users, Organization Manager and Supporter.

Fees and Payments

As a fee to cover the costs of transaction and administration of payments, the value of 9.80% (nine and eighty tenths percent) will be charged and deducted under the value of each transaction, plus an additional of R $ 0.98 (zero integer, ninety-eight-tenths of real cents), also under the value of each and every financial transaction brokered through doare.org or other external applications and sites using the doare.org website technology for receiving donations. The same administration fee already covers and avoids further charges by means of payment (MoIP Payments).

In some cases, Doare offers special conditions for organizations and the administration fee and the total value of the collection fee may vary and there may be decreases or additions.

All fees are quoted in Reais (R$). You are responsible for paying all fees and taxes associated with using Doare. Doare does not guarantee the tax deduction of the donations made to the organizations, and it is up to the user to verify this possibility and request the receipt of the donation value, subtracted from the final collection fee, for the organizations. Organizations have no duty to provide the tax deduction receipt to the donors.

In certain cases, where indicated, the Doare will be responsible for mediating the receipt of tax deduction for the donors. The receipt of a tax donation will be the amount of the donation, minus the final collection rate practiced by the organization in question.

In the event that a project is withdrawn from Doare for violation of the Terms of Use, violation of legal norms or by court order, amounts paid will not be refunded unless Doare determines in its sole discretion that the refund is appropriate in that case .

Since the online payment service and credit card service are independent of Doare, Doare does not give any guarantee regarding the payments processed by MoIP and does not respond for credit card failures.

In other words...

An administrative fee of 9.80% + R $ 0.98 will be charged on each donation transaction, which helps to cover Doare's expenses with means of payment, anti-fraud certificates and maintenance of the service provided by doare.org .

Billing and Transfer

Doare is responsible for collecting all commissioning fees and providing an online administrative panel for private access to the Organization for control and transparency of all financial transactions that are intermediated through the website to receive donations.

Information will be made available in the online administrative panel of 2 (two) types of Balances, being: (i) one, called Total Balance and (ii) another, called Available Balance. The first one, has the function of offering a conference of the total already transacted so far. The second, has the function of verifying the availability of the financial value that can be transferred at that time to the bank account of the Organization.

The amounts credited to the Total Balance will have a term of 30 (thirty) consecutive days after the credit date to be made available in the Available Balance. Withdrawal deficiency is necessary to ensure the processing time of resources by financial institutions and to allow greater agility in resolving possible fraudulent events.

In order for the redemption to take place, the Organization must first inform the Transfer Data, and may have up to 2 options:

(1) Email Address for MoIP Account of organization;

(2) Current account in the name of the organization, in the possible banks: Banco Itaú Unibanco, Banco do Brasil, Banco do Bradesco, HSBC Bank Brasil, Caixa Econômica Federal, Banco do Estado do Rio Grande do Sul SA - Banrisul, Banco Cooperativo Sicredi, Banco Cooperativo do Brasil S/A - Sicoob and Banco Alfa de Investimento S/A.

Once a redemption of an Available Balance is requested for transfer, it may take 1-3 business days for the amount to be available in the Organization's current registered account.

For the redemption of amounts credited to the Available Balance, in withdrawals that amount equal to or greater than R$ 150.00 (one hundred and fifty reais) and that for an email of MoIP Account of the organization, there will be no charge Transfer Rate.

In the case of a Transfer of Available Balance that has a value below this limit of R$ 150.00 (one hundred and fifty reais) and/or for an e-mail account of the Organization's MoIP, but directly to a Bank Account of transfer fee of R$ 3.50 (three reais and fifty cents) will be charged, which will be deducted from the Total Balance and will be used to assist in operating and third-party charges to carry out the financial transaction under these conditions.

We will provide detailed information on the Organization's receipts through the Administrative Panel. The balance will be available for transfer after 30 calendar days. Under Transfers of value equal to or greater than R$ 150.00 and destined for Moip Account, the transfer fee will not be charged. Otherwise, for amounts above R$ 150 and direct to the Organization's bank account, a transfer fee of R$ 3.50 will be charged.

Intellectual Property of Third Parties

Doare respects the intellectual property of others, and we ask our users to do the same. Doare may, under appropriate circumstances and at its discretion, terminate user accounts that violate the intellectual property rights of others. The Site will remove materials that infringe copyright agreements when duly notified that the content violates copyright.

If you believe that your work has been copied in a way that constitutes copyright infringement, provide the website with a notice containing the data relating to the work record. In such cases, please send the notification to [email protected].

Intellectual Property Rights for Organization Manager

Doare offers the possibility of importing content into the Site. The Site will not have any proprietary right over its content, however, the company needs a license to perform the service. You grant the Company the worldwide, nonexclusive, royalty-free right and allow others, acting on behalf of the Site, to (i) use, host, display and perform project-related material (eg use, hosting, transmission, reproduction, transcode, copy, display, distribute and exploit the content, together with all works associated with copyright or metadata, including, without limitation, photographs, graphics and descriptive text in connection with the Site); (ii) allow other users to transmit, reproduce, download, display, distribute and use content and works; and (iii) to use, publish and allow others to use and publish the brand name (s), their image and their personal and biographical materials and the members of their group, in the scope of service provision.

You agree to pay all royalties and other amounts due to any person or entity due to your submission of your content to the content hosting service or service covered by these Terms of Use.

To enable Doare to host your content under the terms of the above provisions, you grant the Site the non-exclusive, royalty-free, sublicensable and transferable right to use, reproduce, copy and display your trademarks, service marks , slogans, logos or similar proprietary rights (collectively, the "Marks") exclusively within the scope of the Service.

Intellectual Property Rights for Advocate

Doare may offer users the ability to add, create, upload, post, distribute or post content, videos, audio clips, written forum comments, data, texts, photographs, software, scripts, graphics or other information to the Site. By submitting User Submissions to the Site you are posting the User Submissions and that you may be publicly identified by your user registration; by submitting any User Submissions through the Site, you agree to grant Doare the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce , distribute, prepare derivative works, display, perform and otherwise fully exploit the User Submissions in connection with the site, the service and the company (and its successors and assigns), including without limitation promotion and partial or total redistribution (and derivative works) or the Service from any media format and through any media channels (including, without limitation, third party sites). You also agree to grant each user of the Site the right to a non-exclusive license to access your User Submissions through the Site and to use, edit, modify, reproduce, distribute, prepare derivative works, display and perform such User Submissions exclusively for personal, non-commercial use.

For the sake of clarity, licensing the Site does not affect your ownership or license rights in your User Material (s), including the right to grant additional licenses for the material in your User Material (s), unless otherwise agreed by written; declares and warrants and can demonstrate to the full satisfaction of Doare, upon request that (i) owns or controls all rights to all User Material Content or that the content of such User Materials is in the public domain, (ii) you you have full authority to act on behalf of any and all owners of any right, title or interest in any content in the User Submissions to use content as provided in these Terms of Use and grant the rights license set forth above, you are permitted to use the name and image of each identifiable person and use such identifiable individual or personal information as provided by these Terms of Use and (iv) that you are authorized to grant all of the above rights to the User Submissions for the Company and all users of the service; you agree to pay all royalties and other amounts due to any person or entity due to your Submission of any User Materials to the Service; that use or other exploitation of such User Materials by Doare and use or exploitation by other users of the Site and services as contemplated by this Agreement will not infringe or violate the rights of third parties, including, without limitation, any privacy rights, publicity copyright, contract rights, or any other intellectual property or proprietary rights, and understand that Doare shall have the right to exclude, edit, modify, rephrase, or translate any material, content or information submitted by you; the information transmitted publicly or privately through the site is the sole responsibility of the person from which the content originated and that the company will not be responsible for any errors or omissions in any content and that the Site can not guarantee the identity of other users with whom you may interact in the course of using the service.
Doare does not endorse and has no control over any User Submissions. The Site can not guarantee the authenticity of the data that users can provide about themselves. You acknowledge that all content accessed by you using the service is at your own risk and you will be solely responsible for any damage or loss to any of the resulting parties.

Feed the system with its own content or content that does not have restricted use rights. You are responsible for the information you generate within our website.

Warranty exemption

Doare has no special relationship or fiduciary duty with you. You acknowledge that Doare has no control and is under no obligation to take all measures relating to which users access the Site; to the content accessed through the Site; the effects that the content may have on you, how you can interpret or use the content, or what actions you may take as a result of having been exposed to the content. You hereby release Doare from all liability for having acquired or not content through the Site. The Site may contain or forward you to sites that contain information that some people may find offensive or inappropriate. Doare makes no representation as to any content contained or accessed through the Site, and Doare shall not be responsible for the accuracy, copyright, legality or decency of the material contained or accessed through the site or the service. The service is provided "as is" and "as available" and without warranty of any kind, either express or implied, including, but not limited to, warranties of title, non-infringement, merchantability and fitness for a particular purpose, and any any course of performance or use of trade, all of which are expressly exempted. The Site and its directors, employees, agents, suppliers, partners and content providers do not warrant that: (a) the service will be secure or available at any time or place; (b) defects or errors will be corrected; (c) the content or software available on or through the service is free from viruses or other harmful elements, or (d) the results of using the service will meet your needs. The use of the service is the only one at your own risk. Doare shall not be responsible for the privacy of the email addresses, registration and identification information, disk space, communications, secret or trade secret information, or any other content stored on Doare equipment, transmitted over accessed networks by the site, or linked to the use of the service.

Rescission

Doare may terminate your access to all or any part of the Site at any time, with or without cause, with or without notice, immediately, which may result in the loss and destruction of all information associated with your membership. If you wish to close your account, you can do so by following the instructions on the site. All fees paid following are not refundable. All provisions of the Terms of Use, which by their nature shall survive termination upon termination, including, without limitation, property provisions, warranty waivers, indemnification, and limitations of liability.

Indemnity

Applicable Legislation

These Terms of Service and any other rules, rules or guidelines incorporated herein by reference shall be governed by and construed in accordance with the laws of the State of Santa Catarina. You agree that Doare - and all services - is considered a passive website, which does not give rise to personal jurisdiction over Doare or its specific or general partners, subsidiaries, affiliates, successors, employees, agents, directors, employees or shareholders , in any jurisdiction other than that of the State of Santa Catarina. You agree that any action in law or equity arising out of or relating to these terms or their use or not of the services must be filed only in state or federal courts located in the State of Santa Catarina and you agree and decide to submit to the personal jurisdiction of these courts for the purposes of such action.

Integration and Autonomy

The Terms of Use constitute the entire agreement between you and Doare in connection with the service and use of the Site and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Doare in connection with the Site. If any provision of the Terms of Use is held to be invalid or unenforceable, that provision shall be terminated or limited to the minimum necessary for the Terms of Use to remain in full force and effect. Failure by either party in any respect of any right set forth herein shall not be deemed a waiver of any other rights.
